Vendor terms

Version vendor-2026-10-18-draft. The agreement between Clean-Able and the companies that work through it. Companies accept it on their own vendor page.

In plain language

The short version. Each company ticks every one of these when it signs up.

  1. I run an independent business. Clean-Able doesn’t employ me or my crew, and I’m responsible for my own work, people, equipment, taxes and insurance.
  2. Clean-Able shows my prices to customers from the rates we set together. A quote holds if the property matches what the customer told us; if it doesn’t, I talk to the customer before I start.
  3. Customers pay through Clean-Able. Card payments go to my Stripe account with Clean-Able’s fee taken out; checks and other payments come to Clean-Able, which pays me my share. My fee is shown on my vendor page.
  4. Customers I meet through Clean-Able are booked through Clean-Able for 12 months after their last job. If I take one off the platform, I owe Clean-Able $500, or Clean-Able’s share of what that customer would have paid over the next 12 months, whichever is more.
  5. I’ll contact every customer within one business day, show up when I say I will, and fix anything a customer says isn’t a 5-star job.
  6. I’ll keep my insurance current, tell Clean-Able right away if it’s canceled or changes, and only send real, accurate documents.
  7. I’ll use customers’ information only to do their job, and never sell it or market to them outside Clean-Able.
  8. Clean-Able can pause or remove me for safety, quality, honesty or insurance problems, and either of us can end this agreement at any time.

The full terms

1. The parties

This agreement is between Goodman Enterprises, doing business as Clean-Able ("Clean-Able"), and the company that accepts it on its vendor page ("you" or "the vendor"). It covers every job you receive through Clean-Able.

2. What Clean-Able does

Clean-Able runs an online platform that shows customers instant prices from independent local companies, takes their booking and passes it to the company they choose. Clean-Able checks and records vendors’ insurance documents, handles invoicing and payment collection, and helps resolve problems. Clean-Able does not perform the work and does not direct how you do it.

3. Independent business

You are an independent business, not an employee, agent, partner or joint venturer of Clean-Able. You decide how, and with whom, the work is done. You are responsible for your workers, their pay, safety and conduct, your equipment and supplies, all licenses or registrations your work requires, and all taxes on your income. Clean-Able may issue tax forms (such as a 1099) for payments it makes to you.

4. Prices and quotes

Your prices are built from rate tables agreed with you and shown to customers as instant quotes. A quote is your price for the job as the customer described it. If the property is materially different, you must tell the customer and agree a revised price before starting; if they decline, you leave without charge. You may ask Clean-Able to change your rates at any time; changes apply to new quotes. You will not charge a Clean-Able customer anything beyond the agreed price without the customer’s approval through Clean-Able.

5. Payments and Clean-Able’s fee

6. Customers introduced by Clean-Able

7. Service standards

8. Insurance and documents

9. Customer information

Customer details you receive are for doing that customer’s job and the follow-up it needs. You will keep them secure, not sell or share them, and not use them for marketing outside Clean-Able.

10. Responsibility for the work

You are responsible for your work and for any injury, loss or property damage caused by you or your workers. You will defend and hold Clean-Able harmless from claims arising from your work, your workers or your breach of this agreement. Clean-Able’s total liability to you under this agreement is limited to the fees Clean-Able received from your jobs in the 3 months before the claim.

11. Collections

You authorize Clean-Able to invoice customers, collect payments, and pursue past-due amounts for your jobs on your behalf, including under the Net 30 terms customers accept, and to claim a lien where the law allows it, with your cooperation.

12. Pausing, removal and ending

Clean-Able may pause or remove your listing for safety, quality, honesty, insurance or payment problems. Either of us may end this agreement at any time by notice; jobs already booked are completed or handed back as we agree, and sections 5, 6, 9, 10 and 11 continue after it ends.

13. Changes and the law that applies

Clean-Able may update this agreement with 30 days’ notice on your vendor page; you will be asked to agree to the new version to keep receiving jobs. This agreement is governed by the laws of Oregon.
